HARES Terms of Service

These Terms of Service ("Terms") govern your access to and use of the HARES rabbit show management and registry service, including the website at haresregistry.com and any related applications, APIs, and services (collectively, the "Service"). The Service is provided by Durgin Limited Company, a Georgia LLC ("Durgin Limited Company," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and Accounts

You must be at least 13 years old to create an account, and at least 18 years old (or the age of majority in your jurisdiction) to enter into a paid subscription. If you create an account on behalf of an organization, club, or show, you represent that you have authority to bind that entity to these Terms, and "you" includes that entity.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at [email protected] of any suspected unauthorized use.

2. The Service

HARES provides software for managing rabbit and cavy shows, including show entry, check-in, judging, results, registry records, breeder data, reporting, and related communications. We may add, modify, or remove features at any time. The Service is not affiliated with or endorsed by the American Rabbit Breeders Association (ARBA) unless expressly stated.

3. Subscriptions, Fees, and Billing

Some features require a paid subscription. By subscribing, you authorize us (and our payment processor) to charge the recurring fees and applicable taxes to your payment method until you cancel. Fees are quoted in U.S. dollars and are non-refundable except as required by law or as expressly stated in writing by us.

We may change subscription fees on prospective billing cycles with reasonable advance notice (typically by email or in-app notice). Continued use of the Service after a price change takes effect constitutes acceptance of the new fees. You may cancel a paid subscription at any time through your account settings; cancellation takes effect at the end of the current billing period.

Payment processing is handled by Stripe, subject to its own terms and privacy policy. We do not store full payment card numbers on our servers.

4. Your Content

You retain ownership of the data and content you submit to the Service, including show entries, rabbit and cavy records, breeder profiles, photos, and other materials ("Your Content"). You grant HARES a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, and process Your Content solely as needed to operate, secure, improve, and provide the Service to you and your authorized users.

You are solely responsible for Your Content and represent that (a) you have all rights necessary to submit it, (b) it does not violate any law or third-party rights, and (c) it is accurate as it pertains to ownership, pedigree, registration, and show records you submit.

5. Acceptable Use

You agree not to:

  • use the Service in violation of any law, regulation, or ARBA show rule applicable to you;
  • upload content that is unlawful, fraudulent, defamatory, harassing, or that infringes another person's rights;
  • submit knowingly false pedigree, registration, ownership, or show data;
  • attempt to access accounts, data, or systems you are not authorized to access, or probe, scan, or test the security of the Service without our written permission;
  • interfere with or disrupt the Service, including by introducing malware or sending excessive automated requests;
  • scrape, copy, or resell the Service or its data except as expressly permitted; or
  • reverse engineer or attempt to derive the source code of the Service, except where this restriction is prohibited by law.

6. Intellectual Property

The Service, including its software, design, text, graphics, and the HARES name and logo, is owned by HARES or its licensors and is protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. No other rights are granted.

7. Third-Party Services

The Service relies on third-party providers to operate. We currently use:

  • Linode (Akamai): cloud infrastructure and hosting;
  • Stripe: payment processing and subscription billing;
  • SendGrid: transactional email delivery;
  • Twilio: SMS and voice communications;
  • New Relic: application performance monitoring and error reporting.

We may add, replace, or remove providers from time to time. We are not responsible for third-party services, and your use of them is governed by their own terms and privacy policies.

8. Termination

You may stop using the Service at any time and may delete your account through your account settings or by contacting us. We may suspend or terminate your access if you breach these Terms, if required by law, or if continuing to provide the Service to you would create risk to HARES or other users. Upon termination, your right to use the Service ceases. Sections that by their nature should survive termination (including Sections 4–6 and 9–14) will survive.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, HARES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT SHOW RESULTS, REGISTRY DATA, OR REPORTS GENERATED THROUGH THE SERVICE WILL BE FREE FROM ERROR. YOU ARE RESPONSIBLE FOR INDEPENDENTLY VERIFYING SHOW RESULTS AND REGISTRY RECORDS BEFORE RELYING ON THEM.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HARES AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

NOTWITHSTANDING THE FOREGOING, FOR FREE TRIALS, FREE TIERS, BETA FEATURES, AND OTHER EVALUATION OR NO-CHARGE ACCESS, HARES WILL HAVE NO LIABILITY OF ANY KIND ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, INCLUDING FOR ANY OUTAGE, ERROR, DATA LOSS, OR UNAVAILABILITY DURING THE TRIAL OR EVALUATION PERIOD.

11. Service Level Agreement

For paid subscriptions in good standing, HARES targets monthly uptime of 99.5% for the production Service ("Uptime Commitment"). "Monthly Uptime Percentage" means total minutes in the calendar month, minus Excluded Minutes (defined below) during which the Service is Unavailable, divided by total minutes in the calendar month minus Excluded Minutes. "Unavailable" means the production Service is materially inaccessible to substantially all users.

Excluded Minutes. Downtime caused by any of the following does not count against the Uptime Commitment:

  • scheduled maintenance announced at least 24 hours in advance, and emergency maintenance to address a security or stability issue;
  • outages or degraded performance of third-party providers we rely on (including Linode/Akamai, Stripe, SendGrid, Twilio, New Relic, and any successor providers);
  • failures of the public internet, your network, your equipment, your software, or any service or system not under our direct control;
  • force majeure events, including acts of God, severe weather, fire, flood, war, civil unrest, labor disputes, pandemic, and government action;
  • denial-of-service attacks, malicious traffic, or other security incidents not caused by our gross negligence;
  • your acts or omissions, including misconfiguration, misuse, breach of these Terms, or use of the Service in a manner inconsistent with our documentation;
  • suspension or termination of your account in accordance with these Terms; and
  • beta, preview, free-trial, free-tier, or other no-charge features or accounts.

Service Credit. If the Monthly Uptime Percentage falls below 99.5% in a calendar month, your sole and exclusive remedy is a service credit equal to one (1) month of the subscription fees you paid for the affected production Service for that month. Service credits are not refundable, have no cash value, will be applied to future invoices, and will not exceed the fees paid for the affected month.

How to claim. To receive a service credit, you must submit a written request to [email protected] within thirty (30) days after the end of the calendar month in which the downtime occurred, including the dates and approximate times of the downtime and any logs or other information reasonably supporting your claim. Credits will not be issued for periods for which you did not timely submit a claim.

This SLA does not apply to free trials, free tiers, beta or preview features, or accounts that are past due or otherwise not in good standing. The service credit described in this Section 11 is your sole and exclusive remedy for any failure to meet the Uptime Commitment.

12. Indemnification

You will defend, indemnify, and hold harmless HARES from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) Your Content, (b) your use of the Service, or (c) your breach of these Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state or federal courts located in Chattooga County, Georgia, and the parties consent to personal jurisdiction in those courts.

Any claim must be brought within one (1) year after it accrues or be permanently barred, except where a longer minimum period is required by applicable law.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or in-app notice) before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15. Miscellaneous

These Terms, together with the Privacy Policy and any order forms or written agreements between us, are the entire agreement between you and HARES regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
